Welcome to Echoic Labs. These Terms of Service (“Terms”) govern your access to and use of the websites, products, and services (collectively, the “Services”) provided by Echoic Labs, Inc., including but not limited to our brand websites EchoicLabs.com, LineageEcho.com, and our future platform, YourTallTale.com.

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

1. Description of Services

Echoic Labs provides a suite of services for digital storytelling and legacy preservation.

• Lineage Echo: A service that allows users (“Legacy Creators”) to create a one-way “Keystone Message” or an interactive AI voice model (an “Echo”) for designated family and friends (“Grieving Users”) to interact with after the Legacy Creator’s passing.

• YourTallTale: A future social platform for capturing and sharing audio stories from live events and experiences.

2. User Accounts & Responsibilities

To use most of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during the registration process.

• Maintain the security of your password and accept all risks of unauthorized access to your account.

• Promptly notify us if you discover or otherwise suspect any security breaches related to the Services.

• You are responsible for all activities that occur under your account.

You must be at least 18 years old to create an account and use our Services.

3. User Content and Voice Data

Our Services allow you to create, upload, and store content, including audio recordings, stories, text, photos, and other materials (“User Content”).

• Your Ownership: You retain all ownership rights to your User Content. We do not claim any ownership over your stories, your voice, or your memories.

• The License You Grant Us: To operate our Services, you grant Echoic Labs a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, distribute, and display your User Content solely for the purpose of providing and improving the Services as described. This license is necessary for us to, for example:

  • Securely store your audio files on our cloud servers.

  • Process your audio recordings to create your voice clone via our technology partners.

  • Process your stories and data to train the conversational model for your Echo.

  • Deliver your Keystone Message or Echo to your designated recipients.

• Voice Data: You specifically acknowledge and agree that your audio recordings (“Voice Data”) will be processed by our third-party voice synthesis partners (e.g., ElevenLabs) for the sole purpose of creating your unique voice model. This voice model will only be used to generate audio content within the Lineage Echo service as directed by you. It will not be used for any other purpose or to train any general models.

• Your Representations: You represent and warrant that you have all necessary rights, licenses, consents, and permissions to grant us the licenses set forth in these Terms and that your User Content will not infringe upon or violate the rights of any third party.

4. Intellectual Property Rights

Excluding your User Content, all aspects of the Services, including but not limited to the Echoic Labs, Lineage Echo, and YourTallTale names, logos, software, text, graphics, and other materials (“Company Content”) are the exclusive property of Echoic Labs, Inc. and its licensors. Our Services are protected by copyright, trademark, and other laws of the United States and foreign countries.

5. Prohibited Conduct

You agree not to do any of the following:

• Use the Services for any illegal or unauthorized purpose.

• Post or transmit any User Content that is unlawful, fraudulent, defamatory, obscene, or otherwise objectionable.

• Attempt to reverse engineer, decompile, or otherwise discover the source code of any aspect of our Services.

• Use the voiceprint or Echo of another person to impersonate them, commit fraud, or for any malicious purpose.

• Interfere with or disrupt the integrity or performance of the Services.

6. Disclaimers & Limitation of Liability

THE SERVICES ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

YOU ACKNOWLEDGE THAT THE LINEAGE ECHO SERVICE IS AN AI SIMULATION. IT IS NOT A CONTINUATION OF A PERSON AND IS NOT CONSCIOUS OR SENTIENT. IT IS A TECHNOLOGICAL TOOL FOR REMEMBRANCE, AND ITS RESPONSES ARE GENERATED BASED ON THE DATA PROVIDED BY THE LEGACY CREATOR.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ECHOIC LABS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

7. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
